These terms and conditions can only be confirmed in writing by mutual agreement by Hunthem Pty Ltd. 16. Compensation and Liability 16.1 The Agency provides Fieldfisher and any group entity with all losses, claims, costs (including legal costs), damages and proceedings incurred by an individual with respect to the liability of Fieldfisher or a group unit, fieldfisher or group unit or related to the introduction of a candidate by the Agency , or defects or inaccuracies in the information provided or made available by the Agency against it or to a group unit. 16.2 Without prejudice in paragraph 16.6, Fieldfisher is in no way liable to the Agency for indirect, special or consequential damage to the Agency; or (ii) loss of income, operating losses, depletion of value, or similar losses (direct, indirect, particular or logical), including those caused (including negligence) in the context or under this agreement. 16.3 Without prejudice to paragraph 16.6, Fieldfisher`s liability, either in the context or under this agreement or by other means, is limited, for each year of the duration of this contract, to a total amount corresponding to the total costs paid or payable by Fieldfisher this year (to that end, one “year” of each consecutive period of 12 months from the beginning of the contract and each anniversary date of the contract). 16.4 The Agency becomes responsible before the start date of the contract and at its own expense, 16.5 The Agency implements the necessary insurance policies with serious insurers and provides written evidence of this insurance and the payment, upon request, of the corresponding premiums to Fieldfisher.16.6 Nothing limits the liability of a party in the event of death or bodily harm. which are due to his negligence; (b) fraud or fraudulent misrepresentation; (c) its intentional late payment or intentional execution of this agreement or part of it; or (d) legal or other liability that cannot be excluded under existing legislation. 17. All invoices must be paid in accordance with the invoice presented and strictly within 5 business days from the billing date.
Current or up-to-date advance disclosure: Referring to the customer`s opinion at Hunthem Pty Ltd that a candidate referred or introduced by Hunthem Pty Ltd was already known to the customer, is contemplated by the customer or in Communication with the Customer; The communication between the client and the candidate must take place prior to the submission or recommendation of the Hunthem Pty Ltd candidate and the last communication must have taken place no later than 4 weeks prior to the recommendation or submission. Clear proof of the candidate`s and client`s communication must be provided in writing to Hunthem Pty Ltd, no later than 5 calendar days after the candidate`s submission or recommendation. If this is not the case, a full recruitment fee will be imposed if the client places the candidate directly or indirectly within 12 months of Hunthem Pty Ltd`s filing or referral to the client.
